Investcorp Acquires KSM Consulting, a Leading US Data Analytics, Technology, and Digital Transformation Firm

22 Feb 2021

Investcorp, a leading global provider and manager of alternative investment products, today announced that one of its affiliates has acquired a majority ownership position in KSM Consulting (“KSMC” or the “Firm”), a leading consulting firm specializing in data analytics, technology and digital transformation, from Renovus Capital Partners, which will continue to maintain a minority stake in KSMC. Terms of the transaction were not disclosed.

Founded in 2008 and headquartered in Indianapolis, KSMC delivers smart, custom solutions to the most complex challenges of more than 700 private and public sector organizations. This is done by leveraging deep expertise in data analytics, technology and digital transformation. The Firm draws on its experienced and highly skilled employee base of engineers, mathematicians, data analysts, and business professionals to craft innovative solutions, modernize business processes and drive performance improvements.

KSMC is led by CEO Mark Caswell and President John Roach, who will continue to lead the Firm as it grows. KSMC has delivered consistent double-digit growth by providing exceptional services that solve mission-critical challenges, like accelerating ideal-fit company mergers and acquisitions through consolidated data reporting and technology integration. In the past three years, KSMC has grown at a Compound Annual Growth Rate (CAGR) in excess of 40%, pro forma for acquisitions.

Investcorp’s partnership with KSMC will focus on continuing the Firm’s organic growth, expanding geographically across the United States and broadening KSMC’s service offerings into strategic adjacencies. This will include seeking to complete strategic, value-creating add-on acquisitions, building upon KSMC’s recent acquisitions of Colorado-based Tempus Nova, Ohio-based Advocate Solutions, and Indianapolis-based Connect Think.

“The past year highlighted the importance of embracing technology for all organizations, regardless of size, sector or industry,” said Steve Miller, Managing Director and Head of Knowledge and Professional Services, Private Equity – North America at Investcorp. “We believe that KSM Consulting is well-positioned for growth as the need for organizations to adopt and realize value from digital solutions will continue to generate demand for the Firm’s mission-critical services. In addition to the industry’s attractive secular tailwinds, KSMC’s people, values and culture set the Firm apart in a highly fragmented market. We have a successful history of partnering with professional services and tech-enabled businesses and we look forward to supporting Mark and John as they continue growing KSMC.”

“KSMC represents a highly attractive investment opportunity with what we consider to be a unique position at the center of two of our key focus areas where we have significant, dedicated expertise: professional and tech-enabled services. We were pleased that KSMC met all the key criteria we look for in potential investments across both of these verticals. We look forward to leveraging our expertise and resources to support KSMC as it continues to guide clients through their digital journeys and ultimately deliver on the promise that advancements in technology hold,” said Warren Knapp, Managing Director and Head of Tech-Enabled Services, Private Equity – North America at Investcorp.

Mark Caswell, CEO of KSMC stated, “We believe Investcorp’s deep understanding of technology and the professional services industry makes it an ideal partner for KSMC’s next phase of growth. Investcorp’s resources and expertise will enable us to continue expanding the reach of our difference-making work and will position us for accelerated growth as we continue to prioritize providing service excellence and driving positive outcomes to our clients. We are excited by the long-term benefits this partnership will unlock for our team, clients and communities.”

Investcorp has a long history of collaborating with technology-enabled professional services businesses with select recent investments including: AlixPartners, a results-driven global consulting firm; ICR, a leading strategic communications and advisory firm; Pro Unlimited, global innovator in contingent workforce management; and Revature, a leading technology talent development company.
